These General Terms and Conditions (hereinafter "GTC") govern all contractual relations between Mi Nina Kids - Georgina Vinardell Requena, a sole proprietorship with business identification number CHE-188.386.756, whose registered office is located at Case Postale, 1180 Rolle (hereinafter "Mi Nina Kids" or "the Seller"), and any natural or legal person using the Seller's website www.minina.ch (hereinafter "the Customer" or "the Buyer").

The Delivery Conditions, the Return and Refund Conditions, and the Privacy Policy Conditions, in their latest version, form an integral part of these GTC.

1. Terms of Use of the Online Store

1.2. By using the Website, the Customer confirms that they are of legal age in their country of residence, or that they are validly authorized by their legal representative. The responsibility of the legal representative remains engaged during the use of the Website by an authorized minor.

1.3. The use of the Website or the Seller's products for illegal, unauthorized, or immoral purposes is strictly prohibited.

1.4. The Customer is liable for any damage they cause to the Website or via the Website, in particular through any type of computer virus.

2. Products, Characteristics, and Availability

2.1. Availability: Products and services are offered within the limit of available stocks. If a product proves to be unavailable after the order has been validated, the Customer will be informed by email as soon as possible. The Customer will then have the choice to wait for replenishment, choose a substitute product, or request a full refund for the unavailable item.

2.2. Descriptions and Images: The Seller takes the utmost care in the presentation and description of the products (clothing, children's accessories, etc.). However, images and photographs are presented for purely indicative purposes. Minor variations (in particular color variations due to screen displays or slight manufacturing changes) may exist and shall not engage the liability of the Seller.

2.3. Restrictions: The Seller reserves the right, without any obligation on its part, to limit the sale of its products or Services to any person, geographic region, or jurisdiction. This right may be exercised on a case-by-case basis. The Seller also reserves the right to limit the quantities of any product or service offered, or to withdraw a product from sale at any time and without prior notice.

3. Prices and Payment Terms

3.1. Currency and Taxes: All product prices are indicated in Swiss francs (CHF). Prices are inclusive of all taxes (TTC), excluding delivery fees.

3.2. Price Modification: The Seller reserves the right to modify its prices at any time and without prior notice. Products will be invoiced on the basis of the rates in force at the exact moment of the validation of the order by the Customer.

3.3. Delivery Fees: Shipping and packaging fees are not included in the displayed price of the product. They are calculated and indicated to the Customer before the validation of their order.

3.4. Payment: The total amount of the order is due immediately upon validation. Payments are made securely through the Seller's payment service providers (credit cards, PayPal, or other solutions). The Seller does not store any banking data.

4. Ordering Process and Conclusion of the Contract

4.1. Order Steps: The Customer selects the products of their choice and adds them to their shopping cart. Before finalizing their order, they have the opportunity to check the details of their cart, the total price, and to correct any potential errors.

4.2. Validation: Clicking the final validation of the order constitutes an irrevocable acceptance of the prices and product descriptions.

4.3. Conclusion of the Contract: The sales contract is deemed concluded upon the sending of an order confirmation email by the Seller to the address provided by the Customer.

4.4. Right of Refusal: The Seller reserves the right to refuse, suspend, or cancel any order from a Customer, notably in the event of a dispute relating to the payment of a previous order, suspicion of fraud, a manifest error in the price display, or when the information provided by the Customer is incomplete or incorrect.

5. Delivery Conditions

Issues relating to delivery are governed by the Delivery Conditions, which form an integral part of these GTC.

6. Right of Withdrawal, Returns, Warranty, and Support

6.1. Right of Withdrawal: No legal right of withdrawal is applicable or provided for under these GTC.

6.2. Returns: The Seller accepts returns in accordance with the Return and Refund Conditions, which form an integral part of these GTC. Returns that do not comply with these established conditions will, in principle, be refused.

6.3. Warranty: Any warranty is excluded within the limits of Art. 199 CO (Swiss Code of Obligations). In the event of a defect or error attributable to the Seller, the Return and Refund Conditions shall apply. In the event of an item damaged during transport, the Delivery Conditions shall apply.

7. Liability

Any liability of the Seller is excluded within the limits of Art. 100 CO (Swiss Code of Obligations).

8. Data Protection

Customers' personal data are processed in accordance with Swiss data protection legislation pursuant to the Privacy Policy Conditions, which form an integral part of these GTC.

9. Third-Party Services and Hosting

9.1. The Seller's online store is hosted by Shopify, which provides the e-commerce platform allowing the marketing of the Seller's products and services. Third-party IT tools and services may also be used to improve the Customer's experience.

9.2. Any liability of the Seller for the practices of these providers is excluded.

10. Intellectual Property

All content on the Website, including images, the trademark, logos, and texts, is the exclusive property of the Seller or its partners/suppliers. It may not be used without the prior express authorization of the Seller.

11. Applicable Law and Jurisdiction

11.1. Applicable Law: These GTC and all contractual relations between the Customer and the Seller are exclusively governed by Swiss law.

11.2. Jurisdiction: In the event of a dispute, the legal venue (forum) is at the registered office of the Seller, subject to mandatory contrary provisions.

12. Language and Modification of the GTC

12.1. Language: The GTC may be translated into other languages for informational purposes. In the event of a discrepancy in interpretation or contradiction, the French version shall prevail and be binding.

12.2. Modification: Mi Nina Kids reserves the right to modify, adapt, or update these GTC at any time and without prior notice. It is the Customer's responsibility to consult this page regularly. The version of the GTC applicable to the order is the one online on the website on the day and at the time of the validation of the order by the Customer.
